Welcome to Contlyze! By accessing or using our website, mobile application, or any of our services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Contlyze ("Company," "we," "us," or "our").

2. Eligibility

To use Contlyze, you must:

• Not have been previously banned or suspended from using Contlyze

Contlyze provides AI-powered content analysis and optimization tools, including:

• Content Analyzer: Analyze images, captions, and hashtags for social media
• Trend Finder: Discover local trends and hashtag recommendations
• AI Recommendations: Receive AI-generated suggestions for content improvement
• Analytics Dashboard: Track performance metrics and insights
• Multi-Platform Support: Optimize content for Instagram, LinkedIn, TikTok, etc.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

5. User Content

5.1 Your Content

You retain all rights to the content you upload ("User Content"), including images, text, captions, and other materials. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Process and analyze your content using AI
• Store your content on our servers
• Display your content back to you
• Make backups for service continuity

This license ends when you delete your content or terminate your account, except where we are required to retain it by law.

5.2 Content Restrictions

You agree NOT to upload content that:

• Infringes intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is illegal, offensive, or violates third-party rights
• Contains personal information of others without consent
• Promotes violence, hate speech, or discrimination
• Is pornographic, sexually explicit, or inappropriate
• Violates any applicable laws or regulations

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated tools (bots, scrapers) without permission
• Reverse engineer or decompile our software
• Resell or redistribute the Service
• Create multiple accounts to abuse free tier limits
• Impersonate others or misrepresent your affiliation
• Harass, abuse, or harm other users
• Spam or send unsolicited communications

7. Subscription Plans and Payments

7.1 Plans

7.2 Billing

Each plan has monthly usage quotas (analyses, generations). Exceeding quotas may result in:

• Service suspension until next billing cycle
• Automatic upgrade suggestion
• Additional charges for overage (if enabled)

8. Intellectual Property Rights

8.1 Our Rights

The Service, including all content, features, and functionality, is owned by Contlyze and protected by copyright, trademark, and other intellectual property laws. This includes:

• Software, code, and algorithms
• Design, layout, and user interface
• Logos, trademarks, and brand assets
• Documentation and materials

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes, subject to these Terms.

8.3 Restrictions

You may NOT:

• Copy, modify, or create derivative works
• Reverse engineer or extract source code
• Remove copyright or proprietary notices
• Use our trademarks without permission

9. Third-Party Services and APIs

Our Service uses third-party APIs and services:

• OpenAI: For AI-powered analysis and recommendations
• Google Cloud Vision: For image analysis
• Instagram Graph API: For social media data
• Payment Processors: For billing (Stripe, PayPal)

These services have their own terms of service and privacy policies. We are not responsible for third-party services or their availability.

10. Disclaimers and Limitations

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of AI results
• Uninterrupted or error-free operation
• Security or freedom from viruses

10.2 AI-Generated Content

IMPORTANT: AI recommendations are suggestions only and may not be accurate or appropriate for your specific needs. You are solely responsible for reviewing and verifying all AI-generated content before use.

10.3 Results Not Guaranteed

We do not guarantee specific results, outcomes, or performance metrics from using the Service. Results may vary based on numerous factors beyond our control.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTLYZE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from use or inability to use the Service
• Damages from unauthorized access to your account
• Damages from errors in AI-generated content
• Damages from third-party services or links

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Contlyze, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including attorney fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any law or third-party rights

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Abuse of the Service
• At our sole discretion for any reason

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data after 30 days
• No refunds for prepaid fees
• Provisions that should survive will remain in effect

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@contlyze.com to attempt to resolve the dispute informally for at least 30 days.

14.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except for claims in small claims court or intellectual property disputes.

14.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law and Jurisdiction
